stick with your 98 328i if u want power because it definately quicker. your current car go from 0-62 in 7.3sc and the 2001 325i o-62 in 8.4 sec.. house power are about the same 193hp to 192hp
thats not too much of a loss of power, im havin some one come see my 98 328i today, but as for the 2001 325i any service i should be expecting soon at 43,000KM?? hows the reliabilty and any known problems?

Depending on how the owner use to drive, most likely by 43K the rotors and pads would be worn out. Reliabity should be goods, since its a 3 rd year production model since the e46 was launched.
so what am i better off with? the 98 328i?? or 01 325i?? my 328i is in excellent cond with low kms hmmm lol i like the idea of newer car but dont kno much about them lol any advice?

I've neither owned nor driven a 98 328i, but I know that I am happy with my 01 325i. I bought mine four months ago with 35,000 mi. I just needed to replace the tires and the front brakes.

There are advantages to owning a newer vehicle, especially concerning reliability. A 98 with low miles should be in pretty good shape, though. Only if I liked the look of the 325 E46 better would I chose that over the 328.
I was mistaken earlier regarding the power output of the m54b25. The 325 gives you 184 hp and 175 lb-ft of torque vs 193 hp and 206 lb-ft for your current 328. You also give up about a second in your 0-60. I am all for an upgrade, but in your situation that equates to getting an E36 or E46 M3 or a 330. You have a faster car than if you went with any E46 323, 325, or 328.
