Sounds like an M54 engine... Does it come with the DME, and other electronics?
I'm pretty sure that you would have to fabricate some mounting brackets for the transmission and engine.

What is your definition of many problems? For one the gauge panel would probably be incompatible with the DME, there are a lot of electronics involved in the e46 along with checks double checks and triple checks. The slightest foul up will cause a check engine light (good luck with getting a smog check). Not to mention you are talking about converting an OBD I to an OBD II car. Like they say with the right amount of money you can do anything (at least that's what I say). You will probably spend 3 times as much money putting an OBD 2 engine and electronics system in there.
To answer your question yes you WILL have problems.... For the price of the electronic systems that you would have to add you might as well buy an E46.
