can anyone tell me the differnce or are they the same?

If the m3 one is better it would increase you 0-60 but decrease top speed,
correct?

it wouldn't mean "better", it would mean the gearing is different.
Doesn't the M3 come with an LSD and the other an open diff? (I know my 98 323is has an open diff )

i think your right about the open diffs, bmw stopped LSD's for non-M e36's in 94 or 95. if the M3 diff is infact shorter, it wont necessarily decrease your top speed since there are other factors to be considered, like drag, meaning you probably cant hit redline in 5th gear to begin with
